Please read these terms carefully before using AdsOverAI services

1. About AdsOverAI

AdsOverAI delivers contextual ads within AI chats/agents and related surfaces to help Partners monetize and help advertisers reach intent‑rich moments.

2. Acceptance

By accessing our website, dashboards, or SDKs/APIs, or by buying/selling inventory through AdsOverAI (collectively, the "Services"), you agree to these Terms and our policies incorporated by reference (Privacy Policy; Advertising Content & Acceptable Use Policy; IP & Takedown Policy; Security Statement).

3. Eligibility & accounts

You must be legally capable to contract under Indian law. You are responsible for keeping credentials safe and for activity under your account.

4. Roles

  • Advertisers: buy media through AdsOverAI or integrated demand sources.
  • Publishers/AI‑tool Partners: integrate SDK/API/ad tags to monetize inventory.

Additional Partner‑specific terms may be set out in an IO/MSA or self‑serve order form.

5. Your content & license

You grant AdsOverAI a non‑exclusive, royalty‑free license to use, reproduce, transmit, and display ads/creative and associated materials solely to provide and improve the Services, troubleshoot, and enforce policies.

6. Ad delivery; measurement

You authorize routing of ad calls, auction/bidding, frequency capping, verification, fraud detection, and measurement. You will not interfere with tracking, remove disclosures/labels, or misrepresent inventory.

7. Prohibited content & conduct

You must follow our Advertising Content & Acceptable Use Policy (no unlawful, deceptive, harmful, or restricted ads; special rules for politics, health/financial claims, kids, etc.). You must comply with ASCI's Code/guidelines and CCPA's 2022 misleading‑ads guidelines.

8. Legal compliance

You must comply with applicable laws and platform terms (e.g., rules of AI model providers or app stores). Where you act as Data Fiduciary, you are responsible for providing DPDP‑compliant notices/consents for any personal data you send to AdsOverAI; we will process as your Data Processor per written instructions (or as independent Data Fiduciary for our own measurement/anti‑fraud).

9. Fees & taxes

Prices, payment schedules, revenue shares, billing and tax (including GST) are as specified in the order form, IO, or dashboard. Late amounts may accrue interest at the lower of 1.5%/month or the maximum allowed by law. You are responsible for withholding taxes unless we provide appropriate certificates.

10. Confidentiality

Each party will protect the other's confidential information and use it solely to perform the contract.

11. Intellectual property

The Services, documentation, and analytics are owned by AdsOverAI or its licensors. Except as expressly permitted, you may not decompile, reverse engineer, or create derivative works of the Services.

12. Warranties & disclaimers

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS". WE DO NOT GUARANTEE CONVERSIONS, SPECIFIC REACH, OR UNINTERRUPTED AVAILABILITY.

13. Liability cap

To the maximum extent permitted by law, each party's aggregate liability arising out of or related to the Services is capped at the fees paid or payable to AdsOverAI in the 12 months before the claim, excluding (i) your payment obligations; (ii) indemnifiable IP claims; (iii) your breach of Acceptable Use; or (iv) willful misconduct.

14. Indemnity

  • You will indemnify AdsOverAI against claims arising from your ads, data, or breach of law/policies.
  • AdsOverAI will indemnify you against third‑party claims that the Services (as provided by AdsOverAI) infringe IP, excluding your content or misuse.

15. Suspension/termination

We may suspend or terminate for material breach, legal risk, policy violations, non‑payment, or fraud. Upon termination, your right to use the Services ceases; accrued rights survive.

16. Governing law, venue, and dispute resolution

Indian law governs; courts at Gurugram, Haryana have exclusive jurisdiction. The parties may mutually agree to arbitration under the Arbitration and Conciliation Act, 1996 in Gurugram, English language, one arbitrator.

17. Miscellaneous

Assignment with consent (not to be unreasonably withheld), except to affiliates or in a merger. Notices: legal@adsoverai.com (with a copy to our registered address).
